The Trustees of Pentlands Men's Shed are seeking your help to make a change to the Constitution of Pentlands Men's Shed, and to that end we ask you to reply to this email expressing your approval or disapproval of the proposal below.

The Trustees of Pentlands Men's Shed propose a change to the Constitution of the Shed to reduce the quorum for General Meetings (such as the AGM) from two-thirds to one-third of the membership.

To be clear, the proposal is to change clause 39 of the Constitution from
  • The quorum for a members' meeting is not less than two thirds of the Shed members, present in person or virtually.
to
  • The quorum for a members' meeting is not less than one third of the Shed members, present in person or virtually.
By way of explanation, we currently struggle to achieve the required two-thirds for a variety of reasons. The Trustees consider that changing the constitution as described will make it much easier to hold meetings that are quorate, while still having sufficient members present to properly scrutinise any documents, reports, or proposals being put to them. This proposal does not in any way remove or change the option for members to comment or submit votes by email as an alternative to attending in person.

Please reply to this email stating clearly whether you approve or disapprove of the proposal to change the Constitution. We need a minimum of 18 responses, and at least two thirds of the responses must approve the change for this to be effective, so your response is important.
